By using these websites or purchasing a membership, course, or service, you agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use of our websites and services.

1. Memberships

The Ascend Membership is $25 per month. While your subscription is active, you have unlimited access to all courses, guided meditations, and the private community. Some courses may also be available for individual purchase, but all are included in the membership.

Memberships are for personal use only. Sharing your login or subscription with others is strictly prohibited and may result in suspension or termination of your account without refund.

If you cancel your membership, your access will not end immediately. You will continue to have access until the end of your current billing cycle. After that period, all membership content and community features will be unavailable unless you rejoin.

2. Payments & Refund Policy

All payments are processed securely through Thinkific. Membership payments are final and non-refundable, even if you choose not to use the content during your paid period.

Refunds are only offered for pre-paid one-on-one sessions if you cancel or reschedule in advance. No refunds are provided for membership subscriptions.

3. Cancellation Policy

You may cancel your membership at any time by logging into your Thinkific account, selecting your profile at the top, going to Account → Billing, and choosing the cancel option.

Cancellation will stop all future billing, but past payments will not be refunded. You will continue to have access until the end of your current billing cycle, after which your membership, courses, and community access will end.

If you cancel while paying a lower subscription price and later return, you will be charged the current membership rate at the time you rejoin.

4. Newsletter

You may unsubscribe from our newsletter at any time. Simply scroll to the bottom of any email and click Unsubscribe. Once unsubscribed, you will no longer receive email updates. This does not affect your membership status.

5. Data Use & Privacy

User data is collected and stored through Thinkific. Cookies may be used to support site functionality and performance. Please review our Privacy Policy for full details.

6. Service Disclaimers

MediSoul Institute and MediSoul Wellness are not licensed medical providers. We do not provide medical, psychiatric, or dietary treatment. All services, courses, and meditations are intended for educational and personal growth purposes only. You are fully responsible for your own choices, actions, and results.

7. Liability Limitations

By purchasing a membership, course, or session, you agree that MediSoul Institute, MediSoul Wellness, and Holly Janes are not liable for any physical, emotional, or financial outcomes related to participation.

To the maximum extent permitted by law, total liability for any claim related to the services will not exceed the amount you paid in the twelve (12) months preceding the claim.

8. Intellectual Property & Use License

All content within the websites, courses, and membership—including videos, audio files, guided meditations, text lessons, scripts, images, graphics, logos, and downloadable materials—is owned by MediSoul Wellness and MediSoul Institute or licensed to us, and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the content for your personal, non-commercial use while your membership or course access remains active.

You may not:

  • Copy, record, download, reproduce, distribute, share, or publish the content in any form (including uploading to other platforms).

  • Sell, resell, or commercially exploit the content or access credentials.

  • Remove or alter any copyright, trademark, or proprietary notices.

  • Use bots, scraping tools, or automated systems to harvest content.

Violation of this section may result in immediate termination of access without refund, and may lead to legal action.

9. Community Guidelines

Our private community is designed to support learning and growth. You agree not to:

  • Post or share offensive, harmful, or harassing content.

  • Promote hate speech, spam, or commercial solicitations.

  • Interfere with or disrupt the community experience of others.

Violation of these guidelines may result in immediate suspension or termination of membership without refund.

10. Loss of Membership & Account Termination

We may suspend or terminate your account, membership, or course access at our sole discretion, without refund, for:

  • Violating these Terms.

  • Sharing login credentials or infringing on intellectual property.

  • Engaging in harassment or harmful conduct.

  • Fraudulent or abusive activity.

We also reserve the right to discontinue a membership or course offering at any time, for any reason.

11. Enforcement & Legal Remedies

We actively enforce our rights. Remedies may include:

  • DMCA Takedowns: We may issue copyright takedown requests under the Digital Millennium Copyright Act (DMCA) to remove unauthorized copies of our materials from third-party platforms.

  • Seeking injunctive relief to stop infringement or misuse.

  • Pursuing damages, statutory damages, and recovery of attorneys’ fees and costs to the fullest extent permitted by law.

12. Technical Access & Availability

We strive to maintain uninterrupted access to our courses and membership, but we do not guarantee error-free operation or availability. We are not responsible for downtime, outages, or technical issues beyond our control.

13. Third-Party Links & Services

Our websites, courses, or communications may reference or link to third-party websites, services, or products. We are not responsible for the content, policies, or practices of third parties, and access to them is at your own risk.

14. Age Requirement

Memberships and courses are intended for adults age 18 and older. By enrolling, you confirm that you are at least 18 years old.

If you are under 18, you must have the consent of a parent or legal guardian to enroll. By signing up, you represent and warrant that you have obtained such consent. We may request written or electronic confirmation of parental consent, and failure to provide it may result in account termination.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of New Hampshire, United States. Any disputes shall be resolved exclusively in the state or federal courts located in Rockingham County, New Hampshire.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and MediSoul Wellness/MediSoul Institute and supersede all prior agreements, representations, or understandings related to the use of our websites, courses, and services.
